These Terms of Service ("Terms") govern your access to and use of the NodeFoundry website at nodefoundry.com (the "Site") and the Sentinel product (the "Service") provided by NodeFoundry, Inc. ("NodeFoundry," "we," "us"). By accessing the Site or using the Service, you agree to these Terms. If you do not agree, do not use the Site or the Service.

1. Eligibility and accounts

You must be at least 18 years old and legally able to enter into a contract to use the Service. You are responsible for keeping your account credentials secure and for all activity under your account. Notify us promptly at security@nodefoundry.com if you suspect unauthorized access.

2. Acceptable use

You agree not to:

  • Use the Site or Service in violation of any applicable law or regulation.
  • Reverse engineer, decompile, or attempt to extract source code from the Service, except where applicable law expressly permits.
  • Probe, scan, or test the vulnerability of the Site or Service without our prior written permission.
  • Interfere with or disrupt the integrity or performance of the Site or Service, or attempt to gain unauthorized access to any part of it.
  • Use the Service to transmit malware, conduct denial-of-service attacks, or send unsolicited communications.
  • Resell, sublicense, or otherwise redistribute the Service without our written agreement.

3. Intellectual property

The Site, the Service, and all associated software, design, text, graphics, and other content (excluding Customer Data) are owned by NodeFoundry or our licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms and any subscription agreement. No other rights are granted.

"NodeFoundry," "Sentinel," and our logos are trademarks of NodeFoundry, Inc. You may not use them without our prior written consent.

4. Customer data

"Customer Data" means data, content, and information that you submit to or generate through the Service. You retain all rights in your Customer Data. You grant us a limited license to host, process, and transmit Customer Data solely as needed to provide and improve the Service. Our handling of personal information is governed by our Privacy Policy.

5. Beta features

Sentinel may include features that are clearly identified as beta, preview, or early-access. These features are provided as-is, may be changed or discontinued at any time, and may not be subject to the same support or service-level commitments as generally available features.

6. Fees and payment

Paid plans are billed according to the subscription terms presented at signup. Unless otherwise stated, fees are non-refundable. We may change pricing with at least 30 days' notice; changes apply at the start of your next billing cycle.

7. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or use the Service in a way that risks harm to NodeFoundry, our users, or third parties. On termination, your right to use the Service ends immediately. We will, on request, make Customer Data available for export for a reasonable period after termination.

8. Disclaimers

THE SITE AND THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NodeFoundry does not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NODEFOUNDRY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICE. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless NodeFoundry, its officers, directors, employees, and agents from any claims, damages, or expenses arising out of your misuse of the Service, your Customer Data, or your violation of these Terms or any applicable law.

11. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date above and, where appropriate, by other reasonable means. Continued use of the Site or Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

13. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver. These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and NodeFoundry regarding the Site and Service.
